RELEASE OF LIABILITY, WAIVER, INDEMNIFICATION, AND ASSUMPTION OF RISKS
By attending a Somoloco Immersion I agree that during the immersion and/or during any other adventurous or active pursuits or trips in which I will participate under the arrangements of Somoloco LLC and it agents, and subcontractors, certain risks and dangers may arise, including, but not limited to, risks inherent in sporting activities, risks inherent to COVID-19 infection, and risks inherent in traveling and spending time in a foreign country.
Somoloco LLC, and its agents and subcontractors shall not be responsible for any injuries, damages, or losses caused to any traveler in connection with any of the above activities, social or labor unrest, mechanical or construction failures or difficulties, diseases, local laws, climatic conditions, abnormal conditions or developments, viral pandemics, or any other actions, omissions, or conditions outside the travel operator’s control. In addition, I acknowledge that I have voluntarily applied to participate on the chosen trip itinerary and my payment constitutes acceptance of the agreed upon travel arrangements. I am voluntarily participating in this trip with the knowledge of the numerous risks and dangers involved including but not limited to: negligence in any manner on the part of Somoloco LLC, including without limitation, negligence in the conduct or arrangement of the trip in any respect from inception to completion, negligence with regard to equipment selection or maintenance, in the maintenance, selection, or operation of any van or other motor vehicle or vessel utilized to transport passengers, etc; physical exertion for which I am not prepared; forces of nature; their heirs, or any of their affiliated agents, employees, or volunteers for bodily injury, death, emotional trauma or property damage resulting from my participation on the tour. I therefore release and discharge Somoloco LLC, it’s agents, subcontractors, and volunteers from and against any and all liability arising from my participation in the tour or expedition for any reason whatsoever.
FORCE MAJEURE AND TRIP DISRUPTION
“Force Majeure Event” means any event beyond Somoloco’s reasonable control, including but not limited to: earthquake, flood, storm, wildfire, or other natural disaster; epidemic or pandemic; war, terrorism, civil or labor unrest; government action, curfew, border closure, or travel restriction; failure of transport, utility, or communications infrastructure; and the closure or unavailability of venues, accommodations, or local partners arising from any of the foregoing.
If a Force Majeure Event occurs before or during an immersion, Somoloco may, at its sole discretion and with participant safety as the governing priority: (a) modify, substitute, shorten, postpone, or relocate any portion of the program, including classes, instructors, venues, excursions, accommodations, and social activities; (b) suspend the program in whole or in part; or (c) cancel the immersion in whole or in part.
Where an immersion proceeds in modified or substituted form, Somoloco is not obligated to refund any amounts paid. Trip costs are committed in advance to accommodations, instructors, venues, and local partners and are largely non-recoverable.
Where one or more full scheduled program days are cancelled and not substituted with comparable programming, the first affected program day is not compensable and is assumed by the participant as an inherent risk of international travel. For each additional full program day so affected, Somoloco will issue a credit toward a future immersion in an amount determined by Somoloco, having regard to the number of days affected and the costs Somoloco is able to recover or reallocate. Credits issued under this paragraph will not exceed 25% of the total trip price.
Where Somoloco cancels an immersion in its entirety prior to its start date due to a Force Majeure Event, participants will receive a credit equal to the full amount paid, including the deposit.
Credits issued under this section must be applied to a booking made within twelve (12) months of the original immersion end date, and may be used for any immersion departing within eighteen (18) months of that date. Credits are transferable to another individual on written notice to Somoloco, may not be combined with other discounts, referral codes, or promotional offers, and are subject to availability. Somoloco may, at its discretion, extend these periods or issue a credit greater than the amounts described above. The remedies in this section are the sole and exclusive remedies available to participants in connection with a Force Majeure Event, and Somoloco’s total liability in connection with a Force Majeure Event shall not exceed the total amount paid by the participant for the affected immersion.
Participants are strongly advised to obtain travel insurance including trip interruption and cancellation coverage. Somoloco does not provide insurance covering participant losses arising from Force Majeure Events.
PAYMENT, CANCELLATION, AND TRANSFERS
The Payment, Cancellation, and Transfer Policy published at somoloco.com/faq forms part of these Terms and is incorporated by reference. By booking an immersion, you agree to that policy as published on the date of your booking.
NON-CIRCUMVENTION
By participating in a Somoloco LLC trip, the customer agrees that, without prior written consent from Somoloco LLC, they shall not, directly or indirectly:
1) Conduct or attempt to conduct business with Somoloco LLC’s contractors, vendors, service providers, or instructors introduced through the trip.
2) Solicit, engage, or enter into agreements with any such contractors, vendors, service providers, or instructors for similar services that compete with Somoloco LLC’s offerings.
This provision is intended to protect the integrity of Somoloco LLC’s curated experiences and business relationships.
